JPG vs PNG

Will the PNG be transparent?
PNG supports transparency, but converting a JPG does not create it: a JPG holds no transparency information to recover, so the resulting PNG is fully opaque. This tool does not remove or detect backgrounds — a transparent cut-out needs dedicated background removal, not a format change.
